EASTON, PA - December 6, 2001 -- Paragon Technologies,

products and services, announced that the Company's shareholders
have voted to approve Paragon's reincorporation in the state
of Delaware.
Bill Johnson, Paragon's president and chief

will enable the Company to operate under Delaware's well-established
principles of corporate governance."
